Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the Expnz mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and NYL10 Softwares Private Limited ("we," "us," or "our"). If you do not agree to these Terms, do not use the App.

These Terms should be read in conjunction with our Privacy Policy, which describes how we handle your information.

2. Description of Service

Expnz is an AI-powered bill scanning and expense tracking application built on a privacy-first, local-storage architecture. The service includes:

• Bill scanning: Capture or import receipt images for AI-powered data extraction using Google Gemini.
• Expense tracking: Store, categorize, and manage your bills and expenses locally on your device.
• Optional cloud backup: Back up your data to your personal iCloud or Google Drive account.
• Data export: Export your bill data in JSON, CSV, or ZIP formats.
• Analytics & reporting: View spending insights and reports generated from your local data.
• Pro subscription: Access to additional features beyond the free tier.

3. User Accounts

3.1 Account Creation

To use Expnz, you must create an account using Google Sign-In or Sign in with Apple. By creating an account, you represent that:

• You are at least 13 years of age (or the minimum age in your jurisdiction).
• The information you provide is accurate and complete.
• You will maintain the security of your account credentials.
• You will not create more than one account per person.

3.2 Account Security

You are responsible for all activity that occurs under your account. You must notify us immediately at support@getexpnz.com if you become aware of any unauthorized access. We are not liable for losses resulting from compromised account credentials.

4. Acceptable Use

4.1 Permitted Use

Expnz is designed for personal and business expense tracking. You may use the App to scan, organize, and manage your own receipts and bills.

4.2 Prohibited Conduct

You agree not to:

• Upload content that is illegal, fraudulent, or infringes on the rights of others.
• Attempt to reverse engineer, decompile, or disassemble the App.
• Exploit, hack, or interfere with the App's infrastructure or security systems.
• Share your account credentials with others or allow unauthorized access.
• Use the App to upload malicious content, viruses, or harmful code.
• Use the App for any purpose that violates applicable laws or regulations.
• Attempt to manipulate the subscription system or circumvent usage limits.

4.3 Content Accuracy

AI-powered data extraction is provided as a convenience and may not always be 100% accurate. You are responsible for reviewing and verifying all extracted data before relying on it for financial, tax, or legal purposes. We are not responsible for errors in AI-generated data.

5. Intellectual Property

5.1 Our Rights

All rights, title, and interest in and to the Expnz application — including its design, code, logos, trademarks, and documentation — are owned by NYL10 Softwares Private Limited. You may not copy, modify, distribute, sell, or create derivative works of the App without our prior written permission.

5.2 Your Content

You retain full ownership of all bill images, receipt data, and expense information you create or upload through the App. Since your data is stored locally on your device (and optionally in your personal cloud storage), we do not claim any ownership or license over your content beyond what is necessary to provide the service (such as temporarily processing receipt images via the Gemini API).

6. Subscriptions and Payments

6.1 Free Tier

Expnz offers a free tier that allows you to scan and manage a limited number of bills. The free tier provides access to core features with a lifetime limit of 10 bills.

6.2 Expnz Pro

Expnz Pro is a premium subscription that unlocks unlimited bill scanning and additional features. Subscriptions are available on a monthly basis and are processed through the Apple App Store (iOS) or Google Play Store (Android).

• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.
• You can manage and cancel your subscription through your device's App Store or Google Play settings.
• Payment is charged to your App Store or Google Play account at confirmation of purchase.

6.3 Refunds

Refund requests must be submitted through the Apple App Store or Google Play Store, as all payments are processed by the respective platform. We follow the refund policies of Apple and Google.

6.4 Price Changes

We reserve the right to change subscription prices. Any price changes will take effect for the next billing cycle after notice is provided through the App or the respective app store.

7. Data Ownership and Privacy

Your use of Expnz is also governed by our Privacy Policy, which details how we handle information, what we collect with your consent, and your privacy rights. Key highlights:

• All bill data is stored locally on your device.
• Receipt images are sent temporarily to Google Gemini API for processing only.
• Anonymous analytics are collected only with your explicit opt-in consent.
• We do not sell, rent, or share your personal data for advertising purposes.

8. Service Availability

8.1 Uptime

Because Expnz primarily operates on your device with local data storage, most features remain functional even without an internet connection. Features that require network access (bill scanning via Gemini API, cloud backup, subscription management) depend on the availability of third-party services and your internet connection.

8.2 Changes to the Service

We may modify, update, suspend, or discontinue features of the App at any time. We will provide reasonable notice for significant changes that affect your use of the service.

9. Disclaimer of Warranties

• The App will be error-free, uninterrupted, or free from security vulnerabilities.
• AI-powered data extraction will be 100% accurate for all receipt types and formats.
• The App will meet your specific requirements or expectations.
• Data stored on your device or in your cloud account will never be lost or corrupted.

You acknowledge that AI data extraction is a convenience feature and should not be relied upon as the sole record for financial, tax, or legal purposes without independent verification.

10. Limitation of Liability

To the maximum extent permitted by applicable law, NYL10 Softwares Private Limited shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, data, business opportunities, or goodwill.
• Damages resulting from errors in AI-extracted data.
• Damages resulting from unauthorized access to your account or device.
• Service interruptions caused by third-party service providers.
• Loss of locally stored data due to device failure, theft, or user error.

Our total aggregate liability for any claims arising from or related to your use of the App shall not exceed the total amount you have paid to us for subscriptions in the twelve (12) months preceding the claim, or one hundred United States dollars (USD $100), whichever is less.

11. Indemnification

You agree to indemnify, defend, and hold harmless NYL10 Softwares Private Limited, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the App, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

12. Termination

12.1 By You

You may stop using the App and delete your account at any time. Upon account deletion, your authentication data, subscription records, and any opt-in analytics data are permanently removed from our systems within 30 days. Local data on your device is not affected by account deletion and must be cleared separately through the App's settings.

12.2 By Us

We may suspend or terminate your account and access to the App if:

• You violate these Terms or engage in prohibited conduct.
• You engage in fraudulent activity or abuse of the subscription system.
• Your account has been inactive for more than 24 months.
• Required by law or to protect the rights and safety of our users.

12.3 Effect of Termination

Upon termination, your right to use the App ceases. Sections 5 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Governing Law) survive termination.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes through in-app notifications and by updating the "Last Updated" date at the top of this page. Your continued use of the App after changes are posted constitutes acceptance of the revised Terms.

15. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the App.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations freely.
